DIET, DISCIPLINE & DISCIPLESHIP, INC.
a corporation duly established under the Laws of the State of New York
and having is usual place of business at 2710 Chili Avenue, Town of Chili, Monroe County, New York
for consideration paid, and in full consideration of Ten Dollars ($10.00)
grants to GRENVILLE CHRISTIAN COLLEGE, a company incorporated under the Laws of the Province
of Ontario without share capital and having its principal office in the Township of North
Augusta, County of Grenville, Province of Ontario Canada with quitclaim covenants
the land in Orleans, Barnstable County, Massachusetts, more particularly described as follows:

NORTHERLY  by Bay View Drive, one hundred twenty-two and 05/100 (122.05) feet;
EASTERLY   by Lots 12 and 15, three hundred thirty-four and 46/100 (334.46) feet;
SOUTHERLY  by Uncle Ben's Way and Anchor Drive, one hundred twenty-four (124) feet; and
WESTERLY   by Lots 7 and 8, three hundred twenty-six and 17/100 (326.17) feet.

          ALL of said boundaries are determined by the Court to be located as shown
on a plan 29772-A, dated August 1960, drawn by Arthur L. Sparrow Co., Engineers,
as modified and approved by the Court, and filed in the Land Registration Office at
Boston, a copy of a portion of which is filed in Barnstable County, Registry of Deeds
in Land Registration Book 203 Page 6 with Certificate of Title No. 26426 and said land
is shown thereon as Lots 13 and 14.

          SO much of said land as is included within the limits of the streets and
ways shown on said plan is subject to the terms of a stipulation in favor of land
marked "J. William Andersen et ux" between the petitioner and J. William Andersen et ux
filed with the papers in this case on January 10, 1961 being Document No. 68,438-A.

          SAID land is subject to and has the benefit of rights of way, recreational
area uses and building and use restrictions, all as more fully set forth in Document
No. 88,488.

          SAID land is subject to the rights granted in an easement given to the
Cape & Vineyard Electric Company et al dated May 16, 1961 being Document No. 71,232.

          SUBJECT to a First Mortgage of the Cape Cod Five Cents Savings Bank in
the original principal amount of $96,000.00 dated November 23, 1977, under Document
Number 228,981

                  CERTIFICATE OF RESOLUTION OF BOARD OF
              DIRECTORS PERTAINING TO SALE OF REAL ESTATE 

  I, CAROL D. SHOWALTER, CERTIFY that I am the duly elected President of
DIET, DISCIPLINE & DISCIPLESHIP, INC. and that the following is a true and
correct copy of a Resolution duly adopted at a Special Combined Meeting
of the Directors and Members of the Corporation held on the 19th day of May,
1980, such meeting having duly been called and regularly held in conformity
with the Certificate of Incorporation and By-Laws of the Corporation, and
a majority of all members and directors being present and unanimously voting
to adopt a resolution as set forth herein:
  "RESOLVED, that DIET, DISCIPLINE & DISCIPLESHIP, INC. execute and
deliver to GRENVILLE CHRISTIAN COLLEGE, its Quit-Claim Deed to real property
described in Exhibit "A" attached hereto and made a part of this Resolution,
and be it further
  RESOLVED, that CAROL D. SHOWALTER, President of DIET, DISCIPLINE &
DISCIPLESHIP, INC. and WILLIAM P. SHOWALTER, Treasurer of DIET, DISCIPLINE &
DISCIPLESHIP, INC., be and hereby are, authorized to perform any and all
acts and to execute and deliver all documents or instruments as may be
necessary, or advisable and proper, to carry out the intent and purposes
of the foregoing Resolution."
